1.COPYRIGHT - Volunteer Squared is the intellectual property owner in respect of the copyright in the compilation incorporated in Volunteer Impact Standard Edition, Volunteer Impact Lite and MyVolunteerPage.com (herein the Software). All such rights are reserved and retained by Volunteer Squared. 2. LICENSE This License grants to the software subscription purchaser (herein The Organization) the non-exclusive and non-assignable right to: a) Access the Software by The Organization through a web browser through single or multiple personal accounts b) Access MyVolunteerPage.com by The Organization’s volunteers through a web browser through multiple logins. c) Use the Software in accordance with the provisions of this Agreement. 3. ACCEPTANCE OF THIS LICENSE The terms and conditions of this License are deemed to be accepted by The Organization by its indication of acceptance in the online order form to which the agreement is presented and by Volunteer Squared once it provides The Organization with an administrative username and password. 4. USE OF THE SOFTWARE For the purposes of this License "use" shall mean and include: Utilization of the Software by accessing it through a web browser to add, edit delete or view content in the database for the purpose managing the volunteers registered with The Organization. 5. PAYMENT FOR THE USE OF THE SOFTWARE The Organization agrees to pay Volunteer Squared, as per the pricing provided to them and further agrees to pay the annual maintenance fee as published at www.Volunteer 2.com for continued use of the Software. The number of volunteers used to determine the annual fee after the first year is the number of volunteers in the organization’s accounts that are not marked as archived. If the organization grows beyond the number of volunteers associated with the particular annual fee it has paid, no additional fees will be charged for that year provided that the growth was not more than 50% of the number of volunteers used to calculate the annual fee. If growth of greater than 50% occurs, any additional fees will be prorated for the balance of that anniversary year. 6. SOFTWARE UPGRADES Volunteer Squared agrees to make standard upgrades to the Software available to the Organization at no additional cost. The Organization recognizes that from time to time Volunteer Squared will publish standard upgrades in the Software and such upgrades will automatically be included in the software license. The Organization further recognizes that, over time, future versions of the software may have features that change in some way or are removed from the software. The Organization further recognizes that if Volunteer Squared makes additional modules available as optional additions for additional fees to future purchasers, those modules will not be considered as part of the standard upgrades. 7. THE ORGANIZATION’S UNDERTAKINGS The Organization undertakes: a) To ensure that their Software is not used to contact volunteers for any other purpose than those related directly to the management of volunteers. b) To supervise and control the use of the Software in accordance with the terms of this license. 8. SERVICE LEVEL a) Volunteer Squared agrees to host the Software and all associated data in an SSAE16 certified facility. b) Web Server Availability - Volunteer Squared is committed to providing scheduled network and server uptime of a minimum of 99.9%. This uptime percentage is a monthly figure, and is calculated solely by Volunteer Squared monitoring systems or Volunteer Squared authorized/contracted outside monitoring services. Scheduled maintenance as described in item (c) is not included in this guarantee. c) Scheduled Maintenance shall mean any maintenance to the Volunteer Squared servers or software(a) of which Organization is notified 24 hours in advance, or (b) that is performed during a standard maintenance window from 12:00AM to 6:00AM EST. Notice of Scheduled Maintenance will be provided to The Organization by posting in the system alert section of the Software. d) Data Integrity – Volunteer Squared employs sophisticated RAID techniques to ensure the integrity of the data on its servers; the data is written to two or more disks simultaneously to prevent data loss in the event of hardware failure. Nightly, offsite backups are performed for system-wide recovery purposes only. e) Volunteer Squared agrees to respond to errors or defects in the Software reported by The Organization that prevents the Software from performing as defined on our website and to resolve these errors or defects within a reasonable time. 9. WARRANTY a) The Organization acknowledges that software in general is not error-free and agrees that the existence of such errors shall not constitute a breach of this Agreement. b) Although Volunteer Squared does not warrant that the Software supplied hereunder shall be free from all known viruses, Volunteer Squared represents and warrants that it used reasonable commercial efforts to ensure the Software delivered to The Organization under this Agreement does not contain any viruses that would affect The Organization’s ability to use the Software and further represents and warrants that it continues to use reasonable commercial efforts to check for the most commonly known viruses on an ongoing basis. c) Volunteer Squared warrants that the Software will function in accordance with the specifications of the Software published by Volunteer Squared as of the date of acceptance of this Agreement. d) Volunteer Squared represents and warrants that Volunteer Squared has all right, title and interest in and to the Software and the right to enter into and provide the License rights granted by this Agreement to The Organization. e) The use of the Software will not infringe, breach or constitute a misappropriation of the intellectual property or other proprietary or contractual rights of any third party. f) Except for those express limited warranties contained in this section 9, Volunteer Squared expressly disclaims all warranties or conditions with respect to the Software and its use by The Organization including but not limited to any implied warranties or conditions of merchantability or fitness for a particular purpose. The Organization acknowledges that Volunteer Squared is not liable if the Software does not meet the requirements of The Organization, if the Software will not operate free of errors or uninterrupted, or if the Software will not function in The Organization’s hardware environment. The Organization accepts the Software as-is. g) Notwithstanding the limitations of liability expressed in section 9(f), Volunteer Squared will refund the initial licensing and setup fees, annual fees, data import fees and web based training fees, if for any reason the Organization wishes to cancel this agreement with 90 days of its acceptance. 10. DEVELOPER'S LIABILITY a) Volunteer Squared shall not be liable to The Organization for any loss or damage whatsoever or howsoever caused arising directly or indirectly in connection with the License, the Software, its use or otherwise, except as expressly set out herein and except to the extent that such liability may not be lawfully excluded by the terms of this Agreement under the applicable law. b) Notwithstanding the generality of (a) above, Volunteer Squared expressly excludes liability for indirect, special, incidental or consequential loss or damage of any kind which may arise in any manner from use of the Software by the Organization, the end user, or any other person, firm or corporation, including, without limiting the foregoing, damages in respect of or to equipment or property, or for loss of profit, business, revenue, goodwill or anticipated savings. c) In the event that any exclusion contained in this Agreement shall be held to be invalid or if for that reason or any other reason whatsoever Volunteer Squared becomes liable for loss or damage, such liability shall at all times and in all circumstances be limited only to a maximum amount equal to the initial license fees paid by The Organization and a claim for the refund of such license fees shall be the sole and exclusive remedy of The Organization and/or any other person, firm or corporation. 11. PRIVACY Volunteer Squared acknowledges the importance of privacy. a) Volunteer Squared shall not at any time before, during or after the termination of this Agreement resell, lease, rent, disclose, release, permit the disclosure or release, nor provide access to any information related to any person listed with the software database. b) Volunteer Squared shall not at any time before, during or after the termination of this Agreement use, or make use any information related to any person listed with the software database for any purpose other than those required in the provision of the software to the organization. c) Subject to part (b) above, Volunteer Squared may generate aggregate reports such as but not limited to the number of volunteers in the database, the number of volunteer hours recorded within the Software provided that no information related to individual volunteers is included in any report. d) Volunteer Squared uses and will continue to use commercially reasonable efforts to prevent unauthorized access to the servers storing the data for the Software and agrees to inform the organization in the event of unauthorized access. 12. FORCE MAJEURE Volunteer Squared is under no liability to The Organization in respect of anything which, apart from this provision, may constitute a breach of this License arising by reason of force majeure. 13. TERM OF THE AGREEMENT This Agreement shall be for a term of one year commencing on the date of execution of this Agreement and shall automatically renew for further terms of one year unless terminated in writing by either party thirty days prior to the anniversary of the acceptance of this agreement. The wording of this agreement are subject to change but if the Organization has reason not to agree with the new wording, the wording in affect at the time shall remain in force until the end of the current one year term. 14. WAIVER Failure or neglect by either party to enforce at any time any of the provisions hereof shall not be construed as a waiver of that party's rights hereunder nor prejudice that party's rights to take subsequent action. No waiver of any clause, term or condition of this Agreement by any employee, agent or contractor of The Organization shall constitute an enforceable or continuing waiver by The Organization, nor shall Volunteer Squared be entitled to rely on any such waiver. 15. SEVERABILITY In the event that any of these terms, conditions and provisions shall be determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such terms, conditions and provisions shall to that extent be severed from the remaining terms, conditions and provisions which shall continue to be valid to the fullest extent permitted by law. 16. ENTIRE AGREEMENT This agreement sets forth the entire agreement between Volunteer Squared and The Organization, and supersedes any prior agreements or understanding, whether oral or in writing. 17. COMPLIANCE WITH LAWS Volunteer Squared agrees at all times to comply with all applicable federal and state laws, statutes, regulations and orders. 18. INDEPENDENT PARTIES Nothing in this Agreement shall be construed so as to imply a partnership, joint venture or other relationship between Volunteer Squared and The Organization. It is expressly acknowledged and agreed that the parties are independent contractors and that no partnership, joint venture or other relationship of any kind is intended. Last revised December 2012
